GENERAL INFORMATION

Terms of Sale:

Payment in advance with either credit card, company check or wire transfer

Remittance:

Price Policy:

  1. All prices are subject to change without notice.
  2. Orders will be accepted from authorized customers only with the understanding that prices will be those in effect at the time of shipment.

Freight:

  1. FOB New Castle, PA with freight included to the first destination continental USA
  2. Freight is only included for mechanical and electrical accessories when the accessories are ordered with an air curtain.
  3. A $35.00 net fee will be added to all orders when a 24 or 48

hour prior notification is requested.

IMPORTANT:

  1. Check all Order Acknowledgments and Invoices carefully to make sure they are in agreement with the original purchase order.
  2. For all purchase orders of $50.00 or less (excluding freight, taxes, etc.) a credit card must be used for the transaction. There will be a $6.95 shipping and handling charge added to the order.

RETURNS

  1. Returned Material Authorization (RMA) number must be obtained from Air Door Distributors (call 866-402-1642).
  2. No product return will be accepted without an RMA number, which should be marked on the outside of the carton/skid. If no RMA number is present, the product will be refused and eturned to the customer.
  3. Authorized return goods are to be shipped, freight prepaid, to Berner.
  4. No returns after 60 days.
  5. Berner International Corp. or Air Door Distributors  is not liable for any damages to

equipment incurred in the transportation or delivery of the

returned equipment.

















RESTOCKING FEES



RMS AND CONDITIONS

 

Indirect & Direct Gas Fired – NON Returnable 

 

Note: Restocking fees are the percentage of the invoice total. Customer is responsible for the return freight, and cost of any freight damage. Credit issued pending receipt and inspection of the equipment.

Non-Returnable

  1. Previously installed units.
  2. Units packaged in other than original packaging.
  3. Electrical accessories.
  4. Custom equipment (all equipment other than standard cataloged products including custom colors/finishes).
  5. Discontinued products.

DAMAGES AND SHORTAGES

  1. Equipment is inspected and tested before packing.
  2. Equipment is packaged to ensure the best possible protection of the merchandise.
  3. Inspect equipment before accepting shipment.
  4. EXTERNAL DAMAGE: Evidence of loss or damage must be noted on the freight bill or express receipt and signed by the carrier’s agent at the time of delivery.
  5. INTERNAL DAMAGE: Immediately inspect the equipment for any concealed damage from transit. Damage should be reported to the carrier within ten days of receipt.
  6. Forms for filing damage claims are available from the carrier. Safe delivery is the responsibility of the carrier.
  7. The person receiving the goods is responsible for filing the freight claim for concealed and visible damage.
  8. SHORTAGES: Berner is only responsible for shortages when notified within 3 days of receiving the shipment.

ORDER CANCELLATION

  1. 100% cancellation fee for Berner manufactured parts for all custom orders.
  2. 50% fee for non-stock replacement parts.
  3. 30% fee of total order (minimum of $125) if the work is in progress or if the order has been completed.
  4. $75 charge when order has been entered and all paperwork is in progress, but production has not been started.
  5. No charge when order has not been entered.

ORDERING INFORMATION

Technical Information:

When required, approved drawings, field dimensions, shipping address and firm shipping date (month, day and year) must be received before equipment can be scheduled for production.

LIMITED WARRANTY

Berner International warrants all new equipment to be free of

defects in workmanship and material. Claims will be honored for

equipment that has been properly cared for, installed and operated.

Warranty excludes any labor charges.

Air Curtain models:

ALC08, AHD10, ARD12, ARC16, SLC07, SHD07, CLC08, CHD10, IDC12 & IDC14

Five years (5 years) on unheated models, Two Year (2 year) on heated models from the original date of shipment.
DTU03 Model: One year (1) on unheated and heated models from the original date of shipment.

SALES TERMS AND CONDITIONS

Effective January 1, 2019

Acceptance: By placing an order, customer acknowledges they are authorized to do so and they agree to Mars Air Systems’ (Mars) / Air Door Distributors terms and conditions stated herein. Any dispute shall be resolved based on these terms and conditions and governed by the laws of the State of California. The terms and conditions stated herein supersede any terms and conditions previously published.

Prices and Quotations: All prices are subject to change without notice. Mars’ quotations are generally good for 30 days unless special terms are negotiated and agreed to in advance and in writing. It is customer’s responsibility to confirm current pricing before placing an order.

Acknowledgments: Check all order acknowledgments and invoices carefully to make sure they are in agreement with the original purchase order. Customer will be responsible for any errors.

Product Changes: Mars / Air Door Distributors reserves the right to change product design and specifications without notice.

Sale: Point of sales and purchase contract jurisdiction is Gardena, California. All orders are subject to credit review and approval. Minimum order is $100 net (exclusive of discounts, sales tax, shipping, etc.).

Freight: Our freight terms are generally FOB destination. Mars will pay ground freight in the continental U.S. for all units shipped in

their standard packaging and shipping containers, except: all Direct and Indirect Gas Fired models, Windstopping (WMI, WMH), Windguard(BD), and all component parts (ordered separately) are excluded. The customer is responsible for paying freight charges on orders for all excluded units and parts. Additionally, Mars reserves the right to request freight charges on orders that require alternative shipping methods and which may include extra shipping measures such as special carriers, trailers, crating, etc. Customer is responsible for expedited or guaranteed transportation charges and for applicable accessorial charges such as residential/school delivery, lift gate, advance notification, etc. Customer is also responsible for actual freight charges assessed at time of shipment, which may differ from a freight estimate provided by Mars / Air Door Distributors

Delivery: Mars / Air Door Distributors will do its best to meet customer’s required ship date. Mars / Air Door Distributors does not guarantee specific delivery dates, but can arrange guaranteed or expedited delivery through third party freight carriers at additional cost. If we cannot ship on specified date, we will cancel any associated fees. Under no circumstances is Mars liable for any economic or other types of consequential damages (including lost profits) resulting from late delivery. Orders held back/not picked up more than five days after scheduled ship date will incur a storage fee of $50 per day.

Orders and Inspection: Mars equipment is inspected and tested before packing and is shipped in working condition. All orders must be inspected by customer promptly upon receipt for damage and accuracy. Any discrepancies or suspected damages must be signed for as damage on the receiving bill and reported to Mars within four business days after receipt or rejection of shipment. To protect your rights during the claim process please take and forward to us detailed, clear, and appropriate pictures of the damaged goods and serial numbers. If equipment is found to be defective or incorrect, Mars will provide replacement at no cost to customer. Mars will not be responsible for expedited replacement.

Freight Damage: Mars / Air Door Distributors is not liable for damages to orders during transportation. It is customer’s responsibility to inspect the order at the time of delivery to ensure its accuracy and condition. Any shortages or damages MUST be noted on freight carrier’s bill of lading. Mars / Air Door Distributors shall not be responsible for any shortages or damages not noted on the bill of lading. Concealed damages must be reported to Mars / Air Door Distributors and the carrier immediately upon discovery, which should not exceed three (3) business days. In the case of concealed damage, Mars will file freight claim if it is notified within three (3) days of receipt when Mars paid for the freight. If customer paid for freight, it is the customer’s responsibility to file a freight claim directly with the freight carrier.

Changes: Changes to customer orders requested in writing not yet processed (within 4 hours of order placement) are generally made at no charge to customer. However, there will be additional charges if the order has been processed depending on the status of the order in the manufacturing process. Please consult the factory at the time of order revision for more information. Custom or modified equipment orders will be subject to additional charges, please consult factory for details.

Cancellations: If customer order has not been processed, there will be no cancellation charges. If customer order has been processed and put into production, there will be a cancellation charge of at least 35%, with a minimum of $50. If the order has been processed and built, cancellation charges of at least 50% will apply. The factory will advise of actual cancellation charges at the time of cancellation. Higher cancellation charges will apply on items that we don’t stock and custom or modified equipment orders by not be cancelled. Please contact Air Door Distributors for details.

Returns: Customer must obtain Return Merchandise Authorization (RMA) number prior to returning any merchandise. All returned merchandise must be shipped in its original condition and packed carefully to avoid damage during transit. Returned shipments generally suffer damages if they are not returned in well-secured original container. Amount of credit, if any, will be determined upon inspection; no partial credits will be issued. Freight must be prepaid on all return shipments, and depending on the condition of the returned items at receipt, they may be subject to handling or restocking charges of at least 30%, or a minimum of $200, for standard equipment and at least 50% for non-standard equipment. Custom orders may not be returned. The factory will advise of actual handling or restocking charges at the time of the return. Exchanges of undamaged equipment are subject to at least a 10% exchange fee, or a minimum of $100. Custom or modified equipment may not be exchanged. If equipment is more than 90 days old it may not be returned, please consult factory for details. All credits can only be applied to future orders and not refunded.

Non-Returnable: The following items are not-returnable: Custom orders, previously installed items, used parts, units without the original packaging.

Limitation of Liability: In all cases the liability of Mars shall not exceed the purchase price of the equipment upon which liability is based.

Taxes: Any applicable sales taxes and/or other government charges upon production, sale and/or shipment of merchandise sold hereunder, not currently imposed by Federal, State, or Municipal authorities, or hereafter becoming effective, shall be added to the price herein provided, and shall be paid by customer.

WARRANTY COVERAGE, PERIOD, EXTENT AND LIMITATIONS

(Equipment only)

Mars warrants that Mars equipment: 1) is free from defects in materials and workmanship and 2) conforms to Mars specifications. Warranty period for Mars units, except heated and custom models, is a five (5)-year period commencing from the invoice date. Warranty period for Mars heated units is an eighteen (18)-month period commencing from invoice date. Warranty period for all custom units, including WMI, WMH, and BD units, is a twelve (12)-month period commencing from the invoice date. Warranty period for Mars parts is a twelve (12)-month period commencing from the invoice date. Mars will provide free replacement of any part that fails as a result of a defect in material or manufacturer’s workmanship. The warranty does not cover labor and expedited transportation expenses. Mars is not liable for any of the following: 1) Third-party claims against you for damages; or 2) Special, incidental, or indirect damages or for any economic consequential damages (including lost profits), even if Mars, its suppliers, or its reseller are informed of their possibility. The warranty does not cover repair or exchange of Mars equipment resulting from misuse, accident, modification, unsuitable physical or operating environment, improper maintenance and installation, or failure caused by a product for which Mars is not responsible. The warranty does not cover damages caused by mishandling during transportation.

The warranty is voided by removal or alteration of Mars equipment or parts identification labels, by improper installation of equipment and resulting non-compliance to federal state and local codes and regulations.
